Terms of Service

These Terms of Service ("Terms") govern your use of the TippingTags platform, website, and services (collectively, the "Service") operated by TippingTags ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

To create a business account on TippingTags, you must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of your business. By registering, you represent that you meet these requirements.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Keep your account credentials secure
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

3. Use of the Service

Business Accounts

As a business account holder, you may add team members, generate QR codes, and manage tip collection for your team. You are responsible for:

• Ensuring you have the right to add team members to your account
• Distributing collected tips to team members in accordance with applicable laws
• Maintaining accurate records of tip distributions
• Complying with all applicable employment, tax, and labor laws regarding tip handling

Tipping

Tips submitted through TippingTags are voluntary payments made by customers. All tips are processed through Stripe and deposited into the business account holder's connected Stripe account.

Prohibited Uses

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Misrepresent your identity, business, or the purpose of collected tips
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for money laundering or fraudulent activity
• Collect tips under false pretenses or for individuals not associated with your business

4. Payments and Fees

Transaction Fees

Standard card processing fees apply to all transactions (2.9% + $0.30 per transaction, charged by Stripe). These fees are deducted automatically from each transaction before funds are deposited.

Subscription Plans

TippingTags offers tiered subscription plans (Starter, Business, Enterprise) with varying features and limits. Plan details and pricing are available on our website. We reserve the right to modify pricing with 30 days' notice to active subscribers.

Refunds

Tips are generally non-refundable once processed. In cases of fraud or unauthorized transactions, refund requests will be handled in accordance with Stripe's dispute and chargeback policies.

5. Intellectual Property

The Service, including its design, features, content, and branding, is owned by TippingTags and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.

You retain ownership of any content you provide (business name, team member names, etc.) and grant us a limited license to use it solely for providing the Service.

6. Third-Party Services

TippingTags integrates with third-party services including:

• Stripe for payment processing, governed by Stripe's Terms of Service
• Clerk for authentication and identity management

Your use of these third-party services is subject to their respective terms and policies.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law, TippingTags shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless TippingTags, its officers, directors, and employees from any claims, losses, or damages (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any reason at our discretion, with notice where practicable. You may close your account at any time by contacting us. Upon termination:

• Your access to the Service will be revoked
• Any pending tips will be processed and deposited per normal timelines
• You remain responsible for distributing any collected tips to team members

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.
